Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services, APIs, software, and websites (collectively, the “Service”) provided by Dewey AI, Inc., a Delaware corporation (“Dewey,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you further represent that the organization is validly formed and in good standing.
2. Account Registration
You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your API keys and credentials and for all activity that occurs under your account. Notify us immediately at aria@caa.columbia.edu if you suspect unauthorized access.
3. Permitted Use
Subject to these Terms, Dewey grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes or to build applications for your customers. You may not:
- Resell, sublicense, or otherwise make the Service available to third parties as a standalone product that competes with Dewey;
- Use the Service to process, store, or transmit any content that violates applicable law or third-party rights;
- Reverse engineer, decompile, or attempt to extract the source code of the Service;
- Circumvent or attempt to circumvent rate limits, usage quotas, or security controls;
- Use the Service to develop a competing document backend or vector database service;
- Transmit malware, spam, or otherwise interfere with the integrity or performance of the Service or third-party systems.
4. API Usage and Quotas
Your use of the Service is subject to the usage limits associated with your plan (documents processed, queries, research credits, and storage). Exceeding these limits may result in throttling, suspension of access, or additional charges as described on our pricing page. Dewey reserves the right to modify usage limits upon reasonable notice.
5. Payment and Billing
Paid plans are billed monthly in advance via Stripe. By providing a payment method, you authorize Dewey to charge you for the applicable subscription fees and any overage charges. All fees are non-refundable except as required by law or as expressly stated in these Terms. If your payment fails, we may suspend your access after a reasonable cure period. You are responsible for all taxes associated with your use of the Service.
6. Free Tier
Dewey offers a free tier subject to the usage limits described on the pricing page. The free tier is intended for individual developers and evaluation purposes. Dewey reserves the right to modify or discontinue the free tier at any time upon 30 days’ notice.
7. Customer Data
“Customer Data” means the documents, files, and other content you upload to the Service. You retain all ownership rights in your Customer Data. You grant Dewey a limited license to process, store, and transmit your Customer Data solely to provide the Service to you. Dewey does not use your Customer Data to train machine learning models without your explicit consent.
You represent and warrant that you have all rights necessary to upload your Customer Data and that doing so does not violate any applicable law or third-party rights, including intellectual property rights and privacy laws.
8. Intellectual Property
Dewey and its licensors own all right, title, and interest in the Service, including all software, APIs, documentation, and trademarks. Nothing in these Terms transfers any such rights to you. Feedback, suggestions, or ideas you provide about the Service may be used by Dewey without restriction or compensation to you.
9. Confidentiality
Each party may have access to non-public information of the other party (“Confidential Information”). Each party agrees to protect the other’s Confidential Information with at least the same care it uses for its own confidential information and not to disclose it to third parties without prior written consent, except as required by law.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. DEWEY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED OUTPUTS MAY BE INACCURATE; YOU ARE RESPONSIBLE FOR EVALUATING THEIR ACCURACY.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEWEY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL DEWEY’S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DEWEY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Dewey and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service in violation of these Terms, (b) your Customer Data, or (c) your violation of any applicable law or third-party rights.
13. Term and Termination
These Terms remain in effect while you use the Service. You may terminate your account at any time from your dashboard settings. Dewey may suspend or terminate your access immediately for cause, including violation of these Terms, non-payment, or conduct that poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately. Sections 7–12 and 15–17 survive termination.
Following account deletion or termination, Dewey will retain your Customer Data for up to 30 days before permanent deletion, except where retention is required by law.
14. Modifications to the Service
Dewey reserves the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable advance notice of material changes where practicable. Your continued use of the Service after such changes constitutes acceptance.
15. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
YOU AND DEWEY EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LITIGATION. Arbitration will be conducted in English on an individual basis. The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
If the arbitration agreement in this section is found unenforceable, any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions.
17. Changes to These Terms
Dewey may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
18. Miscellaneous
These Terms, together with our Privacy Policy and any order forms or agreements referencing these Terms, constitute the entire agreement between you and Dewey regarding the Service and supersede any prior agreements. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. Dewey’s failure to enforce any right is not a waiver. You may not assign these Terms without Dewey’s prior written consent; Dewey may assign these Terms in connection with a merger, acquisition, or sale of assets.
